Terms of Service
Last updated: November 1, 2026
These Terms explain what you can expect from SHAINY AI and what we expect from you. Please read them carefully.
1. Who we are and these Terms
SHAINY AI (the “Service”) is provided by mou Inc., a company incorporated in Japan (“mou”, “we”, “us”). Our registered address is 16-1 Nishimabashi Hirotecho, Matsudo-shi, Chiba 271-0048, Japan. When you use the Service, your contract is with mou Inc..
These Terms of Service (the “Terms”) apply to our website at shainy.ai, the SHAINY AI desktop app for Mac and Windows (the “App”), our servers, and any related services. By creating an account, starting a trial, purchasing a plan, or continuing to use the Service, you agree to these Terms, our Privacy Policy, and our Refund Policy.
If you use the Service on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.
2. Eligibility and your account
- You must be at least 18 years old (or the age of majority where you live, if higher) to use the Service.
- You must give us accurate account information and keep it up to date.
- You are responsible for activity under your account and for keeping your sign-in details secure. Tell us promptly at [email protected] if you think your account has been used without permission.
- Team plans are managed by an administrator. The administrator can add or remove members and manage the plan, and may be able to see how the workspace is configured.
3. What the Service does
SHAINY AI lets you set up AI teammates — such as a chief of staff, inbox manager, sales rep, support agent or researcher — and give them instructions through chat apps you already use. The App runs in a private workspace on your own computer, so your teammates can work with the files, folders and apps you choose to give them access to.
- On your computer. The App runs locally. It can read, create and edit files only in the places you allow, and it keeps itself running and restarts if it stops.
- Asks before it acts. By default, actions that reach other people, spend money, or delete files wait for your approval. You can change these settings; if you do, you are responsible for the actions you allow to happen without approval.
- Our servers. The App connects to our servers to check your plan, and to receive roles, skills, settings and updates for your teammates. The App updates automatically so that it keeps working correctly and securely.
- Features may change. Some features roll out gradually and may differ between plans and platforms. Results depend on how you use the Service and on your business.
An AI teammate is software, not a person. When your teammate communicates with people outside your organization, it must not pretend to be a human. You agree not to configure or use it in a way that leads people to believe they are talking to a human.
4. The AI that powers your teammates
Option 1 — AI included in your plan
Paid plans include AI usage provided through us. Included usage has a monthly allowance; we’ll notify you when you reach 80% of it. If you reach the allowance, included AI may pause until your next billing period, and you can keep working by connecting your own AI.
Option 2 — Bring your own AI
You can connect your own AI subscription or API key from a supported AI provider (for example, Anthropic’s Claude), or a local model that runs on your computer. When you do:
- You hold that account with the AI provider directly, and the provider’s own terms and usage policies apply to it. You must follow them, including any rules on sharing accounts or circumventing usage limits.
- You sign in to the AI provider yourself, through the provider’s own sign-in flow. We do not collect, store or have access to your AI provider passwords or session tokens. Any credentials stay on your computer.
- Fees for your AI provider account are separate from SHAINY AI’s fees and are paid by you to that provider.
- Your requests are sent from your computer to that provider. The provider processes them under its own terms and privacy policy.
- If the provider changes, limits, or stops its service, or suspends your account, parts of the Service may not work. That is outside our control, but you can switch to included AI or another provider at any time.
SHAINY AI is an independent product. It is not made, endorsed by, or affiliated with any AI provider.
5. Connected apps and services
You can connect the Service to third-party messaging apps, email, calendars and other services. You choose what to connect, and you can disconnect at any time. Connections use your own accounts, and the access tokens for them are stored on your computer. Your use of those services remains subject to their own terms. We are not responsible for third-party services, and they are not affiliated with us.
6. Acceptable use
You must not use the Service to:
- break the law or help anyone else break it, or infringe anyone’s intellectual property, privacy or other rights;
- commit fraud, impersonate anyone, mislead people into thinking they are dealing with a human, or send spam or bulk unsolicited messages;
- use an AI provider or connected service in breach of its terms or usage policies, including sharing accounts or credentials, or circumventing rate limits or safety measures;
- create content or take actions that are harmful, abusive, harassing or discriminatory;
- probe, scan or interfere with the security or operation of the Service, or access it by unauthorized means;
- copy, modify, reverse engineer or create derivative works of the App, except where the law allows you to despite this restriction;
- resell, sublicense or provide the Service to others without our written permission; or
- place an unreasonable load on our servers.
You are responsible for the instructions you give your teammates and for the actions you approve or allow them to take.
7. Your content and AI output
“Your Content” means the instructions, files, messages and other material you provide to the Service, and the output your teammates produce for you. As between you and us, you own Your Content.
You give us a limited permission to host, process and transmit Your Content only as needed to provide, secure and support the Service for you, as described in our Privacy Policy. We do not use Your Content to train AI models.
AI output can be inaccurate, incomplete or out of date. Review it before you rely on it, and especially before you send it to others or use it for legal, tax, financial, medical or other professional decisions. The Service does not replace professional advice.
You confirm that you have the rights and any permissions needed to provide Your Content to the Service, including personal data about other people.
8. Our intellectual property
We and our licensors own the Service, including the App, our servers, teammate roles, skills and designs, and the SHAINY AI name and logo. While you comply with these Terms and have an active account, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App to access the Service. The App is licensed, not sold.
If you send us feedback or suggestions, we may use them without any obligation to you.
9. Plans, free trial and billing
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Billing, payment methods, invoices, cancellations and refunds are handled on Paddle’s self-service pages, which you can open from the link in the email Paddle sends after your purchase, or at paddle.net. For anything about SHAINY AI itself, use the help in the App or on shainy.ai, or email [email protected].
When you buy a plan, you also agree to Paddle’s Buyer Terms, which govern the payment transaction. If anything in these Terms conflicts with Paddle’s Buyer Terms about payment, Paddle’s Buyer Terms apply to that payment.
Plans
- Free — $0. Bring your own AI. Includes a one-time trial of our included AI.
- Pro — $29 per month, or $20 per month billed yearly ($240 per year).
- Team — $29 per user per month.
Prices are shown in US dollars. Depending on where you are, sales tax, VAT or similar taxes may be added; Paddle calculates and collects them at checkout. The amount you will be charged is shown before you confirm your purchase.
Free trial
Paid plans may start with a 7-day free trial. A payment method is required to start the trial. You won’t be charged during the trial. Unless you cancel before the trial ends, your plan starts automatically when the trial ends and you’ll be charged the plan price then. We’ll send you a reminder before your trial ends. If you cancel during the trial, you won’t be charged.
Automatic renewal
Subscriptions renew automatically at the end of each billing period (monthly or yearly) at the then-current price, and your payment method is charged on each renewal until you cancel. You can cancel at any time on Paddle’s subscription page, opened from the link in the email Paddle sends after your purchase or from paddle.net. Cancelling takes a few clicks and needs no call or message.
Team seats
Team plans are billed per user. If you add users during a billing period, the additional charge is shown to you before you confirm.
Price changes
We may change our prices. We’ll tell you at least 30 days before a new price applies to your subscription. The new price applies from your next renewal after that notice. If you don’t want to pay the new price, you can cancel before it takes effect.
Failed payments
If a payment fails, you’ll be notified automatically by email, and you’ll have at least 7 days to update your payment method on Paddle’s page while your plan stays active. If payment still isn’t made, paid features may be paused until it is. We won’t delete your data because of a failed payment without telling you first.
10. Cancellation and refunds
When you cancel a paid plan, it won’t renew. You keep paid features until the end of the billing period you’ve already paid for, and then your account moves to the Free plan. There are no cancellation fees. This also applies to Team plans: when a Team subscription ends, the workspace moves to the Free plan.
All purchases are non-refundable except where required by law, at Paddle’s discretion within 14 days (see Paddle’s Refund Policy), or as described in our Refund Policy. Our Refund Policy explains how to make a request; refunds are requested on Paddle’s page and issued by Paddle as our Merchant of Record.
If you are a consumer in the EU or UK, you agree at checkout that the service starts immediately and acknowledge that you lose your right of withdrawal once it starts.
11. Suspension and termination
You can stop using the Service and delete your account at any time.
We may suspend or end your access to the Service if you materially breach these Terms, if payment isn’t made after the period described above, if your use creates a security or fraud risk, or if the law requires it. Where reasonable, we’ll tell you in advance and give you a chance to fix the problem. If urgent action is needed to prevent harm to others or to the Service, we may act first and tell you promptly afterwards. If you believe a suspension is a mistake, tell us through the help in the App or at [email protected], and the decision will be checked again.
If we stop offering the Service entirely, we’ll give you at least 30 days’ notice and refund any prepaid fees for the period after it ends.
After your account ends, you can export data that we store on our servers for 30 days, after which we delete it as described in our Privacy Policy. Files you created on your own computer are yours; we do not delete them.
Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability and disputes) survive.
12. Changes to the Service and these Terms
We continually improve the Service and may add, change or remove features. If a change materially reduces what a paid plan includes, we’ll tell you in advance, and you may cancel and request a refund for the unused part of your current billing period.
We may update these Terms. We’ll post the updated Terms here and change the “Last updated” date. If a change materially affects your rights, we’ll tell you at least 30 days before it takes effect, by email or in the App. If you don’t agree, you can cancel before the change takes effect. Continuing to use the Service after that means you accept the updated Terms.
13. Disclaimers
We work hard to keep the Service reliable, but we can’t promise that it will be uninterrupted, error-free or always available, or that AI output will be accurate. To the extent the law allows, the Service is provided “as is” and “as available”, and we disclaim warranties not expressly stated in these Terms.
Nothing in these Terms excludes or limits rights you have under consumer protection laws that cannot be excluded or limited by contract.
14. Limitation of liability
We are liable without limitation for loss or damage caused by our intentional misconduct or gross negligence, and for anything else that cannot be limited under applicable law.
Otherwise, to the extent the law allows: (a) we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data that you could have prevented by keeping reasonable backups; and (b) our total liability for all claims relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.
We are not responsible for third-party services, including AI providers and connected apps, except to the extent a problem is caused by our own fault.
15. Indemnity (business customers)
If you use the Service for business purposes, you agree to defend and indemnify mou against third-party claims arising from Your Content or from your use of the Service in breach of these Terms or the law. This section does not apply to consumers.
16. Governing law and disputes
These Terms are governed by the laws of Japan. Before starting any formal proceedings, please contact us at [email protected] so we can try to resolve the issue informally within 60 days.
The Chiba District Court in Japan has exclusive jurisdiction over disputes as the court of first instance, except that if you are a consumer, you may also bring proceedings in the courts of the country where you live, and you keep the protection of any mandatory consumer laws of that country.
17. General
- These Terms, together with the Privacy Policy, the Refund Policy and any order you place, are the entire agreement between you and us about the Service.
- If any part of these Terms is found unenforceable, the rest stays in effect.
- If we don’t enforce a right straight away, we haven’t given it up.
- You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, and we’ll tell you if that happens.
- We may send you notices by email or in the App. Notices to us should go to [email protected].
- You must comply with export control and sanctions laws that apply to your use of the Service.
- These Terms are written in English. If we provide a translation, the English version controls to the extent the law allows.
